Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of services provided by ERWAGO INNOVATE (SMC-PRIVATE) LIMITED, trading as ERWAGO Infotech ("we", "us", or "our"). By engaging our services, submitting an audit request, or using our website, you agree to be bound by these Terms.

1. Scope of Services

ERWAGO Infotech provides the following categories of services:

• Business Systems Audit: An assessment of your current operations, leading to a friction map, solution design, and fixed-price proposal
• Implementation Sprint: Build and deployment of the agreed system, delivered in defined milestones
• AI Enablement Audit & Implementation: Assessment and deployment of AI tools and workflows for workforce readiness
• Managed Automation Retainer: Ongoing maintenance, optimisation, and support of implemented systems

The specific scope, deliverables, timeline, and price for each engagement are defined in a written proposal or statement of work ("SOW") agreed before any work begins.

2. Payment Terms

• All prices are quoted in USD unless otherwise agreed in writing
• Project work is billed on a milestone basis as defined in the SOW
• Payment for each milestone is due within 7 days of invoice unless otherwise agreed
• Managed retainer fees are billed monthly in advance
• We reserve the right to pause work if invoices are more than 14 days overdue
• Late payments may incur a delay in delivery; we will notify you in writing

3. Intellectual Property

• Upon receipt of full and final payment, all custom deliverables produced for your project transfer to you as the client
• ERWAGO Infotech retains ownership of all underlying frameworks, templates, methodologies, and general tools used in delivery
• We reserve the right to reference the engagement as a case study (anonymised or with your written consent) in our marketing materials
• Third-party tools and platforms used in delivery are subject to their own licences and terms

4. Client Responsibilities

You agree to:

• Provide accurate and timely information required for the audit and implementation
• Make relevant team members available for discovery sessions as needed
• Review and approve deliverables within agreed review windows
• Maintain active subscriptions to any third-party platforms required for the solution

Delays caused by failure to meet these responsibilities may affect agreed timelines without constituting a breach by ERWAGO Infotech.

5. Limitation of Liability

To the maximum extent permitted by law:

• ERWAGO Infotech's total liability for any claim shall not exceed the total fees paid for the specific service giving rise to the claim in the 3 months preceding the claim
• We are not liable for indirect, consequential, or incidental damages, including loss of revenue or business opportunity
• We do not guarantee specific business outcomes from automation or AI implementations

6. Termination

• Project work: Either party may terminate with 14 days written notice. Completed milestones are non-refundable. Work in progress will be invoiced at a pro-rated amount
• Managed retainer: Either party may cancel with 30 days written notice. No refund is issued for the current billing cycle
• We reserve the right to terminate immediately if payment obligations are materially breached or if the client engages in conduct that is unlawful or harmful

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

8. Dispute Resolution

In the event of a dispute, the parties will first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

10. Changes to These Terms

We reserve the right to update these Terms at any time. The current version will always be available on this page. Continued engagement with our services after any update constitutes acceptance of the revised Terms.
